While SinoPath Academy endeavors to provide quality Mandarin language instruction, we cannot guarantee specific proficiency levels, test performance, or career outcomes. Language acquisition is a complex process influenced by numerous factors including personal dedication, prior experience, learning environment, and individual aptitude. Any testimonials or success stories represent individual experiences and do not guarantee similar results for all students.

3.4 Third-Party Content

Our website may link to or reference third-party content, websites, or resources. We do not endorse and are not responsible for the accuracy, legality, or content of these external sites. Your interactions with third-party websites are governed by their own terms and policies.

4. Indemnification

You agree to defend, indemnify, and hold harmless SinoPath Academy and its subsidiaries, affiliates, officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including reasonable attorneys' fees) arising from:

a) Your use of and access to our services

b) Your violation of any term of these Terms and Conditions

c) Your violation of any third-party right, including intellectual property or privacy rights

d) Any claim that your use of our services caused damage to a third party

5. Legal Information and Dispute Resolution

5.1 Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of, without giving effect to any principles of conflicts of law. You agree that any legal action or proceeding between SinoPath Academy and you for any purpose concerning these Terms or the parties' obligations hereunder shall be brought exclusively in the courts of Tokyo.

5.2 Dispute Resolution Procedure

Step 1 - Informal Resolution: We encourage you to contact us first if you have any concerns or disputes. Most issues can be resolved through direct communication. Please reach out to us via our contact form or email.

Step 2 - Mediation: If the dispute cannot be resolved informally within thirty (30) days, you agree to first attempt to resolve the dispute through good-faith mediation with a neutral third-party mediator mutually agreed upon by both parties.

Step 3 - Legal Action: Only after exhausting informal resolution and mediation may either party pursue legal remedies through the courts as specified in these Terms.

5.3 Arbitration Agreement

Any disputes arising out of or relating to these Terms and Conditions or your use of our services that cannot be resolved through mediation shall be settled by binding arbitration in accordance with the rules of the Commercial Arbitration Association. The arbitration shall be conducted in Tokyo, in theese or English language, at the mutual agreement of the parties.

5.4 Class Action Waiver

To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

5.5 Statute of Limitations

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of our services or these Terms and Conditions must be filed within one (1) year after such claim or cause of action arose or be forever barred.

6. Intellectual Property Rights

All content included on our website, such as text, graphics, logos, images, audio clips, digital downloads, data compilations, and software, is the property of SinoPath Academy or its content suppliers and is protected by international copyright laws. The compilation of all content on our website is the exclusive property of SinoPath Academy and is protected by international copyright laws.

SinoPath Academy shall not be liable for any failure or delay in performance under these Terms and Conditions due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

12. Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any other legal notices or agreements published by SinoPath Academy, constitute the entire agreement between you and us regarding your use of our services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such services.

13. Assignment

You may not assign, transfer, or sublicense these Terms and Conditions or any of your rights or obligations hereunder without our prior written consent. We may assign, transfer, or delegate any of our rights and obligations hereunder without restriction.
